By-Laws
The following By-Laws are hereby adopted by the Kimball Cemetery Association membership and said Association shall be governed thereby. The Kimball Cemetery Association shall hereinafter be referred to in this document as the Association. The By-Laws of this Association may be altered only by a simple majority vote of the membership in-person or by proxy at the annual meeting or at a special called meeting of which all membership has been notified. Notification of any meeting must be made at least fifteen (15) days before said meeting.
Purpose of the Association
The purpose of the Association is to provide orderly and controlled operation of the cemetery including the assignment of grave sites and assistance with the interments and to provide perpetual maintenance for all graves and all vacant grave spaces in the Kimball Cemetery, keeping it properly mowed, trimmed, fences repaired, and other maintenance as needed to assure a pleasing appearance and preservation of the cemetery for the benefit of the membership. The Association is a Not-For-Profit organization; consequently, no member or other individual shall benefit from the Association's earnings, properties, or income. No part of the Association’s earnings, properties, or income shall be used for propaganda or otherwise attempting to influence legislation for any purpose whatsoever.
Membership
A member of the Association shall be any person with ownership of lot(s) claimed and or purchased / or a close relative(s) with ownership of lot(s) or burial in the Kimball Cemetery. Close relative must be a mother, father, brother, sister, spouse, child, or grandparent. An eligible voting member of the Association shall be any member of at least 18 years of age. The Secretary/Treasurer shall maintain a current membership roster of the Association. The membership roster shall list the names, addresses, and phone number of the membership.
Membership Agreement
Being a member of the Kimball Cemetery Association, each shall agree to abide by the By-Laws of said Association. Any dispute arising from any and all sources whatsoever, related to said Association, shall be settled by arbitration. The disputants may each choose two arbitrators from the membership of the Association. One additional arbitrator may be chosen by each disputant from outside the Association membership who has no ties to said Association. Any three Association Officers shall be included in the arbitration. The time and place of arbitration shall be determined by the arbitrators. The decision of the arbitrators, determined by majority vote, shall be binding upon all disputants without further recourse.
Officers of the Association
Officers to serve the Association shall be nominated from the membership and elected by simple majority vote of the Association membership present that constitute a quorum at the annual June meeting. Only those registered as members of the Kimball Cemetery Association shall vote or hold office of said Association. The term of duty of each officer shall be one year. There shall be no limit on the number of terms that any person may serve as an officer. All officers shall serve at the pleasure of the Association membership for the benefit of the Association. The officers of the Association shall be:
1. President
2. Vice-President
3. Secretary/Treasurer
4. Work Chairperson
5. Three Trustees
The President, Vice-President, Secretary/Treasurer, Work Chairperson, and Audit Committee shall be elected from the local area, that is, residing in the Kopperl area. This is necessary in order to have a knowledgeable person(s) readily available to handle problems that arise on a day-to-day basis involving burial and other matters pertaining to the operation of the Kimball Cemetery. No more than two persons from one family shall serve as an officer at any one time. The three trustees may live outside the Kopperl area.
Duties of Officers
The President shall be the chief officer of the Association and preside at all Association meetings, regular or called. The President shall call all meetings to order to assure orderly conduct of the meetings. In the President’s absence, the Vice-President shall preside over said meetings.
The Vice President shall assist the President and is responsible for all projects and other matters assigned to him/her by the President and shall act in the absence of the President.
The Secretary-Treasurer shall keep all records of the Association, prepare the minutes of each meeting, regular or called, conduct all correspondence, publish the official publication of the Association, and issue such notices as are provided for in these By-Laws. Other duties include receiving all contributions from Association members, issuing receipts therefore, and depositing all monies received in accounts of said bank, paying all bills with a single signature of checks. Any check that is to exceed the amount of $1000.00 (one thousand) dollars must be approved by the President and Vice-President. The Secretary-Treasurer shall issue certificates of ownership for each grave space to each purchaser herein the Kimball Cemetery. The Secretary-Treasurer shall maintain a current record of grave space status, to include interred, sold and vacant spaces.
Work Chairperson shall oversee the selling of grave spaces, grounds maintenance of cemetery, such as mowing, trimming grass and tree limbs, or other work that may need to be done, and furnish the information to the Secretary-Treasurer of grave spaces sold and maintenance performed.
The three trustees shall serve in an advisory capacity and be voting officers and shall be called upon by the President at any time for special assignments. If for any reason, there shall be a vacancy of any of the officers, a trustee may be asked to fill the vacancy that occurs until the next regular June meeting at which time the membership can vote to fill that office. A meeting of the officers may make routine decisions for day-to-day operation of the cemetery. Any major decisions regarding change in status of the Association or of any properties or monies belonging to the Association shall be made by majority vote of the Association membership at a special called meeting or at the annual June meeting. Any decision approved shall be in the best interest and benefit of the Association.
Annual Meeting of Association
Business meetings for the Association shall be held at 11:00 AM at the annual Kimball Cemetery workday held each year on the second Saturday in June at the Kimball Cemetery located on State Highway 174 in Bosque County, Texas. The President shall call the meeting to order. Business will be conducted to rules adopted by members of the Association in accordance with Robert’s Rules of Order, Revised. Any one of the officers may call a special or emergency meeting of the membership at any time or place with due notification to the membership a minimum of 15 days in advance of the meeting.
Quorum
A quorum is the minimum number of persons to be present or by proxy to conduct business. A majority of the members of the Association entitled to vote, represented in person or by proxy, shall constitute a quorum for the transaction of day-to-day business at any routine meeting of the officers. A quorum shall be necessary to conduct.
Audit Committee
The Audit Committee, which shall consist of three persons (not related), shall be appointed by the President, and shall audit all properties and funds of said Association within the month before the annual meeting held on the second Saturday in June of each year. The Secretary-Treasurer shall assist the committee by providing financial records and property lists as required by the committee. A member of the audit committee shall present the results of the audit at the annual meeting. Approval of the audit results shall be by membership vote at the annual meeting.
Preservation of Records
Permanent records for the cemetery shall be maintained. A current membership roster shall be maintained and a copy placed in a safety deposit box at a local area bank, along with a copy of the original deed to said Kimball Cemetery, Certificates of Deposit, plat map, listing of grave site status, (interred, owned, or vacant) and other important papers as designated by the officers of said Association.
Purchase of Lots
The purchase price of a grave space is $400.00 (four hundred) dollars. Check or cash will be accepted, with a receipt given by the Work Chairperson. The Secretary-Treasurer upon receipt of full payment shall provide a Certificate of Ownership for each grave space to the purchaser. If 3 (three) or more grave spaces are purchased at one time, arrangements with the approval of the President may be made for monthly payments until fully paid. The Secretary-Treasurer shall issue Certificates of Ownership as receipt of funds for each grave space as completed.
Funds of Association
There shall be a fund for benevolent purposes, deposited in the name of Kimball Cemetery Association. The officers of the Association shall manage the fund. They shall invest, reinvest, protect and manage those properties and incomes in a manner most advantageous to the Association. They are to invest only in those financial organizations, wherein the United States Government insures deposits. The amount deposited in each financial institution is not to exceed the amount insured by law. There shall be a maintenance fund, used for maintenance only, to keep the Kimball Cemetery in a pleasing appearance. Such fund as a checking account shall be deposited in a bank or other contributors are requested to designate their contributions for either the Kimball Cemetery perpetual care fund or the maintenance fund. If no designation is made, the Secretary-Treasurer will use his/her own discretion as to which fund the contribution shall be placed.

Interment in Kimball Cemetery
The Kimball Cemetery is divided into 23 sections (plus one partial section, 1-N). Each section is divided into lots. On the East side of the road, each section is 48’ x 270’ and contains 30 lots (except 1-N). Each section on the West side is 48’ x 288’ and contains 32 lots. Each lot is 18’ x 24’ and contains 10 grave spaces. Grave spaces shall be 4’9.6” x 9’ in size. Within each lot, the grave spaces are identified by a letter (A,B,C,D,E,F,G,H,I, and J) as follows:

Grave markers must be within the allocated grave space. There shall be no curbing around grave spaces. Grave lots may be marked at the corners of each grave space as long as the markers are at ground level. There shall be a headstone of the owner’s choosing placed at the gravesite to be installed within 1 (one) year of interment, if possible. Headstones shall be at the option of the gravesite owner; however, some type of permanent grave marker is recommended. There can be stacked graves, if so desired. There can be up to 4 (four) urns of the cremated, if desired. There can be stacked graves, if so desired, to be placed in one 4’9.6” x 9’ grave space with memorial markers placed at ground level to allow for mowing. Urns shall be a minimum depth of 23”.
Amendments
“Purchase of Lots” There shall not be a profit made from the sale of the grave space(s) that are purchased from the Kimball Cemetery Association should the owner decide to not use the space(s) for any reason.
“Cremation Only Area” A four-lot area west of the large pavilion will be set aside and designated as a cremation-only area. Each standard-sized grave space will accommodate three cremation urn spaces. The price per burial is $50. The option to use a full grave space anywhere in the cemetery for cremation urns is available. The option is available to use the less expensive new area for cremation urns, if desired. There is a requirement that flat markers are to be installed within two months from burial in the new cremation area.
Monuments shall be aligned with the head or foot of the plot and conform with existing monuments.
